1. Acceptance of Terms
By accessing or using KaziLearn, the Professional Capacity Cloud, you agree to be bound by these Terms of Service. If you do not agree, please do not use the platform.
2. The Platform
KaziLearn connects learners with accredited learning providers across multiple delivery models: self-paced courses, instructor-led cohorts, blended programmes and TVET competency training. References to "learners" include individual professionals and staff enrolled by their organisations; references to "providers" include course authors, training institutions, L&D teams and professional bodies.
3. Account Registration
You must provide accurate, complete and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Each persona, professional or client, carries distinct roles and obligations under these terms.
4. Postings, Engagements & Verification
Providers must publish genuine, lawful courses with accurate titles, descriptions, accreditation claims and pricing. KaziLearn may verify provider and organisation identity and reserves the right to remove listings that are misleading, infringing or in breach of applicable law. Marketplace listings undergo a quality review before public availability.
5. Proposals, Matching & Selection
KaziLearn's AI matching engine ranks opportunities against your profile and surfaces professionals to clients based on skill and capacity fit. Match scores and recommendations are guidance, not guarantees. Final hiring and engagement decisions rest with the client. Professionals are responsible for the accuracy of their profile, proposals and portfolio.
6. Projects, Payments & Escrow
For project-based and contract engagements, clients may fund deliverables through KaziLearn's payment and escrow facilities. Funds held in escrow are released to the professional upon the client's approval of the corresponding deliverable. Platform and processing fees, and any applicable taxes, are disclosed before a transaction is confirmed. Payouts, refunds and disputes are handled in line with the Pricing page and our published policies.
7. Fees & Subscriptions
KaziLearn is free for professionals to browse opportunities, submit proposals and apply. Clients pay subscription fees, posting fees or engagement service fees as set out on the Pricing page. Subscriptions renew on their billing cycle until cancelled. Refunds are processed on a case-by-case basis in accordance with our refund policy.
8. Code of Conduct
All users must conduct themselves professionally. Harassment, discrimination, misrepresentation, fraud, or any illegal activity will result in immediate account suspension. Clients may not require fees, deposits or unpaid work from professionals as a condition of engagement. Circumventing the platform to avoid fees on engagements originated through KaziLearn is prohibited.
9. Intellectual Property
All content on the KaziLearn platform, including logos, text and design, is the property of KaziLearn unless otherwise stated. Users retain ownership of content they upload (CVs, portfolios, profile photos, company branding, deliverables) and grant KaziLearn a licence to display it as needed to operate the platform. Ownership of work product created under an engagement is governed by the agreement between the professional and the client.
10. Limitation of Liability
KaziLearn is a marketplace connecting professionals and clients. We are not party to any employment, services or engagement contract that may result from a match, and we are not liable for the actions, performance, deliverables or compensation arrangements of either party. Our liability is limited to fees paid to the platform.
11. Data Protection
We comply with applicable data protection law, including the Kenya Data Protection Act, 2019. See our Privacy Policy for full details on what we collect, why, and the rights available to you, including access, correction, export and deletion.
12. Modifications
We reserve the right to modify these terms at any time. Continued use of the platform after changes constitutes acceptance of the updated terms.
